The short version
- You own your data. We use it only to run the Service for you, as described in our Privacy Policy.
- Only connect accounts and data you have the right to use, and follow the rules of the platforms you connect.
- VortexOS shows you analytics; it is not accounting, tax, legal, or financial advice.
- You can stop using the Service at any time.
1. Agreement to these terms
These Terms of Service (“Terms”) are an agreement between you and VortexOS (“VortexOS,” “we,” “us,” or “our”) and govern your use of the website at vortexos.io and the VortexOS web application (together, the “Service”). By creating an account, signing in, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms, and “you” refers to that organization. You must be at least 18 years old to use the Service.
2. The Service
VortexOS is a business-analytics platform. It connects to payment processors, CRMs, advertising accounts, and spreadsheets you choose, and turns that data into dashboards, reports, attribution, forecasts, commission calculations, and AI-assisted answers for your workspace. We may add, change, or remove features over time. We will try to give reasonable notice before removing a feature you rely on.
3. Accounts & access
- Access to the Service may require approval. You may sign in with an email and password or with Google Sign-In.
- You must give us accurate information and keep it up to date.
- You are responsible for keeping your sign-in credentials and any API keys you create confidential, and for all activity under your account. Tell us right away at support@vortexos.io if you suspect unauthorized access.
- Workspace owners are responsible for the team members and clients they invite and for the access level each one is given.
4. Your data
You own your data. “Customer Data” means the data you or your workspace submit to the Service or that the Service retrieves from accounts you connect. You keep all rights to Customer Data. You grant VortexOS a limited, worldwide, non-exclusive license to host, copy, process, and display Customer Data only as needed to provide, secure, and support the Service for you and as described in our Privacy Policy.
You are responsible for Customer Data and represent that:
- you have the right to connect each account you connect and to let VortexOS access the data in it;
- you have provided any notices and obtained any consents required by law for the personal information of your own customers, leads, and team members that you bring into the Service; and
- your use of Customer Data in the Service complies with applicable law, including privacy, marketing, and consumer-protection laws.
For personal information inside Customer Data, you act as the controller (or business) and VortexOS processes it on your behalf to provide the Service.
5. Third-party services
The Service works with third-party services such as Stripe, Whop, Commas, Pipedrive, Close, GoHighLevel, Meta (Facebook and Instagram), and Google. Your use of those services is governed by their own terms and policies, including the Meta Platform Terms and Google’s terms of service. We do not control third-party services and are not responsible for their availability, accuracy, or changes to their APIs. If a third-party service changes or stops providing access, some features of the Service may stop working.
6. Acceptable use
You agree not to:
- use the Service in violation of any law or regulation, or to infringe anyone’s rights;
- access, or attempt to access, another workspace’s data or any part of the Service you are not authorized to use;
- probe, scan, or test the vulnerability of the Service, or bypass any security or access control, except as permitted in writing by us;
- reverse engineer, decompile, or copy the Service, except to the extent the law expressly permits;
- interfere with or overload the Service, or use automated means to access it other than our published APIs and API keys within their limits;
- upload malware or any harmful code;
- use the Service to send spam or to collect personal information in violation of law or platform policies;
- resell, sublicense, or provide the Service to third parties except as part of your own business’s use or with our written permission; or
- use data obtained from Meta, Google, or any other connected platform in a way that violates that platform’s terms.
7. AI features
The Service includes features that use artificial intelligence to answer questions about your data. AI output is generated automatically, may be inaccurate or incomplete, and should be checked before you rely on it. You are responsible for decisions you make using AI output.
8. No professional advice
The Service provides business analytics based on data from your connected accounts. Figures can differ from your official books because of sync timing, data quality in source systems, refunds, currency, or configuration. The Service is not accounting, tax, legal, investment, or financial advice. Commission and payout figures are calculations to help you, not a guarantee of amounts owed — you are responsible for verifying any amount before paying it or reporting it.
9. Fees & payment
Some features or plans may require payment. If you purchase a paid plan, you agree to pay the fees stated in your order or invoice, plus applicable taxes. Unless your order says otherwise, fees are billed in advance, are non-refundable except where required by law, and renew automatically until you cancel. We may change our prices with at least 30 days’ notice before the change applies to your next billing period. We may suspend paid features if fees are overdue.
10. Intellectual property
The Service, including its software, design, text, graphics, and logos, is owned by VortexOS and its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business purposes. Except for that right, these Terms do not grant you any rights in the Service. If you send us feedback or suggestions, we may use them without any obligation to you.
11. Suspension & termination
You may stop using the Service at any time, and you may ask us to delete your account and data as described in our Privacy Policy. We may suspend or end your access if you breach these Terms, if your use creates a security or legal risk, if required by law, or if we discontinue the Service. Where practical, we will give you notice and a reasonable chance to export your data first. Sections that by their nature should survive termination — including Your data, Intellectual property, Disclaimers, Limitation of liability, Indemnification, and Governing law — will survive.
12. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, VORTEXOS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DATA FROM THIRD-PARTY SERVICES WILL BE ACCURATE OR COMPLETE.
13. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, VORTEXOS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) ONE HUNDRED U.S. DOLLARS (US$100). Some jurisdictions do not allow certain limitations, so some of these limits may not apply to you.
14. Indemnification
You will defend, indemnify, and hold harmless VortexOS from any third-party claims, damages, and costs (including reasonable attorneys’ fees) arising from your Customer Data, your use of the Service in violation of these Terms or the law, or your violation of a third-party platform’s terms.
15. Governing law & disputes
These Terms are governed by the laws of the jurisdiction in which VortexOS is established, without regard to its conflict-of-law rules. Before filing a claim, each party agrees to try to resolve the dispute informally by contacting the other and negotiating in good faith for at least 30 days. Nothing in this section prevents either party from seeking injunctive relief to protect its intellectual property or confidential information.
16. Changes to these terms
We may update these Terms from time to time. We will change the “Last updated” date above, and if a change is material we will notify you by email or in the app before it takes effect. Continuing to use the Service after the change takes effect means you accept the updated Terms.
17. General
These Terms and our Privacy Policy, together with any order form you sign with us, are the entire agreement between you and VortexOS about the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control.
